These Terms of Service ("Terms") govern your use of TownCheck AI, available at towncheckai.com (the "Service"), operated by [LLC NAME] LLC, an Illinois limited liability company doing business as TownCheck AI ("TownCheck," "we," "us"). By creating an account, purchasing a report, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. What the Service Is
TownCheck monitors how third-party AI assistants (such as ChatGPT, Claude, Gemini, and Perplexity, collectively "AI Assistants") respond to consumer-style questions relevant to your business category and area. We compile those responses into scores, reports, and suggested actions. We offer a one-time report (the "AI Checkup") and recurring subscription monitoring.
2. Reports Reflect Third-Party AI Outputs — Not Our Statements
This section matters most, so we'll be plain about it:
(a) Scores, reports, quoted answers, descriptors, and competitor references in the Service reflect, summarize, or measure outputs generated by third-party AI Assistants in response to our queries. They are not statements of fact by TownCheck about any business, and they are not our opinion of any business's quality, reputation, or fitness.
(b) AI Assistants generate responses probabilistically. Their outputs vary between queries, change over time, and may be incomplete, outdated, or wrong. A score reflects what the AI Assistants said during a specific set of checks — nothing more.
(c) References to businesses other than your own (including competitor names) are included solely because AI Assistants named them in their responses. TownCheck does not verify, endorse, rank, or evaluate any third-party business.
(d) You agree not to represent TownCheck outputs as TownCheck's factual claims about any business, and not to use the Service to harass, disparage, or harm any business or person.
3. No Guarantee of Outcomes
TownCheck provides measurement and suggestions — not results. We do not and cannot guarantee that any action will change how AI Assistants respond, that your score or grade will improve, that you will appear in any AI response, or that the Service will produce customers, revenue, or rankings of any kind. AI Assistants are operated by third parties we do not control. Suggested actions are general educational guidance, not professional marketing, legal, or financial advice.
4. Accounts and Acceptable Use
You must be at least 18 and able to form a binding contract. You're responsible for your account credentials and for the accuracy of the information you provide (business name, category, location, competitors). One license covers one user. You agree not to: (a) resell, scrape, or systematically extract Service data without written permission; (b) use the Service to build a competing dataset or product; (c) reverse-engineer our scoring methodology; (d) run reports intended to harass or harm another business or person; or (e) interfere with the Service's operation.
5. Purchases, Subscriptions, and Refunds
(a) One-time AI Checkup. The AI Checkup is a one-time digital purchase at the price shown at checkout. Because it's generated and delivered promptly, it's generally non-refundable once delivered — except that if your report fails to generate or deliver, we'll re-run it or refund you in full. If something's genuinely wrong with your report, contact [SUPPORT EMAIL] within 7 days and we'll make it right.
(b) Subscriptions. Subscriptions are billed monthly in advance at the rate shown at checkout (plus per-location charges you add) and renew automatically each month until canceled. You can cancel anytime from your account dashboard or by emailing [SUPPORT EMAIL]; cancellation takes effect at the end of the current billing period. We don't provide prorated refunds for partial months. Canceling ends future monitoring, and historical monitoring data associated with your account may be deleted after cancellation.
(c) Checkup credit. Any advertised credit of the AI Checkup price toward a subscription applies only within the stated window and only to your first subscription payment.
(d) Price changes. We may change subscription pricing with at least 30 days' notice; changes apply at your next renewal after the notice period.
(e) Payments are processed by Stripe. We don't store your full payment card details.
6. Intellectual Property
The Service — including our scoring methodology, question sets, software, brand, and report formats — is owned by TownCheck and protected by law. Our methodology and question libraries are proprietary trade secrets. We grant you a limited, non-exclusive, non-transferable license to use the Service and your reports for your own business purposes. You may share your own score, grade, and reports; you may not republish the Service's data at scale or use it to train competing systems.
7. Third-Party Services
The Service depends on third-party AI Assistants and infrastructure providers. We're not responsible for their availability, their outputs, or changes they make. If an AI Assistant becomes unavailable or materially changes its interface, we may adjust which assistants the Service covers.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SCORES OR REPORTS ARE ACCURATE, COMPLETE, OR CURRENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) TOWNCHECK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA; AND (b) OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
10. Indemnification
You agree to indemnify and hold TownCheck harmless from claims arising out of your misuse of the Service, your violation of these Terms, or your use of reports or Service data in violation of law or third-party rights (including any claim by another business arising from how you used or characterized Service outputs).
11. Termination
You may stop using the Service anytime. We may suspend or terminate accounts that violate these Terms, with refund of any prepaid, undelivered period where required by law. Sections 2, 3, 6, and 8–13 survive termination.
12. Governing Law and Disputes
These Terms are governed by Illinois law, without regard to conflicts-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in DuPage County, Illinois, and you consent to their jurisdiction. Each party waives any right to a jury trial and agrees claims may be brought only individually, not as part of a class action. Before filing, you agree to contact [SUPPORT EMAIL] and give us 30 days to try to resolve the issue informally.
13. Changes to These Terms
We may update these Terms; material changes will be posted here with a new effective date, and continued use after changes means acceptance. If you don't agree to changes, cancel before your next renewal.
